Important Legal Information Regarding Your Use of Our App

1. Introduction and Acceptance of Terms

Welcome to Appsicle ("the App," "we," "us," or "our"), a Shopify application designed to help Shopify store owners display their Instagram feed on their e-commerce store. These Terms of Service ("Terms") govern your access to and use of the Appsicle application and its related services. By installing, accessing, or using the App, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our App.

These Terms apply to all users of the App, including merchants who install the App on their Shopify stores.

2. Instagram Integration and Data Usage

2.1 Instagram Authorization

To use the core functionality of the App, which involves displaying your Instagram feed, you will need to authorize the App to connect to your Instagram account. This authorization process is facilitated through Meta's (Facebook/Instagram) platform. By authorizing, you grant the App permission to access specific data from your Instagram account necessary for the App's functionality.

2.2 Scope of Data Access

The App requests access to your public Instagram profile information and media (photos and videos). We only access the data required to display your Instagram feed on your Shopify store. We do not access private messages, follower lists (unless explicitly required for display features and clearly stated), or other sensitive information beyond what's necessary for the App's stated purpose.

2.3 Compliance with Instagram Policies

Your use of the App is also subject to Instagram's own Terms of Use and Platform Policies. You are solely responsible for ensuring your Instagram account and content comply with Instagram's policies. We are not responsible for any actions taken by Instagram regarding your account or content due to your use of our App.

2.4 No Endorsement or Affiliation

The App is an independent application developed by Appsicle. It is not endorsed by, directly affiliated with, maintained, authorized, or sponsored by Instagram or Meta Platforms, Inc.

3. App Usage and Responsibilities

3.1 Eligibility

To use the App, you must be a registered Shopify merchant and have the legal capacity to enter into this agreement. If you are using the App on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3.2 Your Account and Security

You are responsible for maintaining the confidentiality of your Shopify store account and any login credentials related to your Instagram account used with the App. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Prohibited Uses

You agree not to use the App for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:

  • Violating any applicable local, state, national, or international law or regulation.
  • Infringing on any intellectual property rights of others, including copyright, trademark, or privacy rights.
  • Attempting to gain unauthorized access to any portion of the App or related systems.
  • Disrupting or interfering with the security or proper functioning of the App.
  • Transmitting any material that contains viruses, Trojan horses, worms, or any other harmful programs.
  • Collecting or harvesting any personally identifiable information from the App without proper authorization.
  • Misrepresenting your identity or affiliation.
  • Using the App to display content that is offensive, harmful, defamatory, or otherwise objectionable.
  • Attempting to reverse engineer, decompile, or disassemble any part of the App.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of the App, including but not limited to all software, designs, text, graphics, logos, and the selection and arrangement thereof, are owned by Appsicle or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Your Content

You retain all rights to your Instagram content that you display through the App. By using the App, you grant us a limited, non-exclusive, royalty-free license to access, display, and use your Instagram content solely for the purpose of providing the App's services to you, as permitted by these Terms and our Privacy Policy.

5. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, Appsicle DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

IN NO EVENT SHALL Appsicle, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7. Indemnification

You agree to defend, indemnify, and hold harmless Appsicle and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms; or c) your content displayed through the App.

8. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the App.

10. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply cease using the App and uninstall it from your Shopify store.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the App, shall constitute the entire agreement between you and us concerning the App.

11.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

11.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
